If you are the sole director of a company using Model Articles of Association, recent case law highlights the importance
I am a partner in the corporate commercial department at Tees Law, joining in September 2023. I have over two decades of experience advising businesses on a range of commercial and corporate matters including acquisitions and disposals, restructuring, mergers, and joint ventures. I also regularly advise traditional, corporate, and limited liability partnerships on admission, retirement and dissolution.
I utilise my extensive experience to take a can-do and creative approach to ensuring transactions are completed efficiently and on time and take a proactive approach to unravel complexities and solve problems. I am passionate about delivering the service that clients want, providing clear and commercially astute advice tailored to their needs.

Claire Powell and Nana Poku are a credit to this firm, they are responsive, polite and professional. They are also extremely prompt and thorough right through the process. Genuinely impressed with such commitment to communication and updates.
Legal 500 UK, 2026

The Legal 500 2025 said – “Claire Powell and her team are very effective communicators, taking their time to explain matters of law and where and when commercial decisions have to be taken.
